TERMS AND CONDITIONS

  1. The cylinders and fittings covered by this invoice are loaned by the vendee, NOT SOLD, and are to be returned to the plant or warehouse or the vendor from which they were shipped in good condition and repair, promptly when empty. Vendee shall pay to the vendor for each such cylinder a monthly charge for the time each cylinder is retained.
  2. The vendee waives any claim based on defective valves or other cylinder imperfections unless same are made within thirty (30) days after receipt of cylinder is returned to vendor’s plant or warehouse with blue tag (mailed upon request) attached, stating defect.
  3. The vendee shall not loan or refill or cause to be loaned or refilled the cylinders furnished by the vendor, and shall return empty cylinders and fittings, designated on bill of lading as “empty cylinders returned complete with caps,” sending vendor bill of lading showing cylinder numbers.
  4. The vendee shall pay to the vendor, upon demand, the value of any cylinder or fittings lost, destroyed or damaged, through any cause whatsoever, or not returned to the vendor within six (6) months from date of shipment to the vendee, based on the latest selling list of the vendor, or if the damage can be repaired, the cost of making such repair.
  5. The vendee shall be responsible for damage to and loss of the cylinders and fittings from the time of acceptance of delivery of the cylinders and fittings by the vendee until return thereof to the vendor.
  6. The vendee shall indemnify and save harmless the vendor from and against all loss or damage arising out of injuries to or death of persons, and damage to or destruction of property (other than that caused by defective cylinders thereof) in any manner caused by, incident to, or connected with the cylinders or the contents thereof furnished by the vendor, whenever the same may be during the aforesaid period.
  7. The vendee shall pay in addition to the price or prices specified herein, the amount of any tax upon or payable or collectible by the vendor with respect to or which is ascertained by reference to or measured by any sales, deliveries or orders hereunder by virtue of any present or future Federal, State, Municipal or law applicable thereto.
  8. Vendor reserves the right to stoppage in transit and to repossess products notwithstanding delivery to the carrier, until payment in full has been made to vendor. Vendee by acceptance of the products grants a security interest to Vendor in such products until paid in full together with all of the rights and remedies of a secured under the Uniform Commercial Code.
  9. Service and deliveries by the Vendor shall be subject to floods, strikes, or other labor disturbances, fires, accidents, wars, delays or carries, inability to obtain raw materials, failures of normal source of supply, restraints of governments, or any other similar cause beyond the Vendor’s reasonable control.
  10. The vendee shall indemnify and save harmless the vendor from and against all loss or damage arising out of injuries to or death of persons and damage to or destruction of property in any manner caused by, incident to, or connected with the cylinders or the contents thereof furnished by the vendor wherever the same may be during the aforesaid period (the vendee may insure against the foregoing liabilities under standard forms of insurance policies. Whenever necessary vendee’s policies should be endorsed to provide for coverage and in the event of any loss or damage as aforesaid vendee should promptly report such damage or loss to the insurance company and the vendor).
